John Boisen, President, opened the meeting by giving a summary of the current Board of Directors standings. John announced his resignation as President and as Board Member of KIBHA. In addition, he announced the resignation of Fred Miller due to health reasons.

Treasurer’s Report:  Judy Bauer reported the current bank balance of $4,019.80. All invoices have been paid and all members are current with their annual dues.

Dock Report: Don Sharp reported that most of the changes to dock assignments are up to date. The current dock assignment sheet is on the web @ HYPERLINK “http://www.kibha.org”www.kibha.org.

Old Business: None to report

New Business:

Toni Beck noted that the mailboxes at the north end of Boisen Loop are in disrepair. They are falling apart. The Board cannot assist with fixing them because they are not on Association property. It was suggested that those affected take care of the problem.

Don Sharp reported that the picnic tables purchased last year have been popular and other homeowners have requested one.  A motion was made, seconded and passed to order two (2) more matching tables to be placed in front of homes on the south end of the bay and in front of Littlejohns.

Sand for the two current beaches was discussed. A motion was made, seconded and passed to order more sand to enhance the two beaches. It was also discussed that two more beaches be added. Littlejohns were in favor of one in front of their home as was Denise Schumaker. This will be researched by the next Board.

Boisen Loop is in need of sealing. Also, it was discussed that the weeds along the road be sprayed so that they are not detrimental to the road. This will be determined by the next Board.

Selection of the Board of Directors:

A motion was made to re-elect the current Board of Directors. It was seconded and the vote was unanimous. In addition, a separate motion was made and seconded to elect two more members to replace John Boisen and Fred Miller.  Don Sharp nominated Tim Moss and Rick Littlejohn volunteered to serve. A motion was made and seconded to elect these two members to the Board. The vote was unanimous.

There being no further business at the General Members Meeting, a motion was made, seconded and the members voted unanimously to adjourn.

John Boisen, President, opened the meeting.

Treasurer’s Report – Judy Bauer reported the current bank balance of 

$2,360. It was great to hear that for the first time in several years, all members had paid last year’s dues. When dues from 2011/2012 are deposited and recorded, we should have over $5,600.

Road Master, Fred Miller made a report of the condition of the road, and the cause: The damage was caused by trucks with heavy weights, causing the blacktop to flex, crack, and break. Unfortunately, the damage does not manifest itself until 9-12 months later, making it difficult & impossible to pin to a homeowner and trucking company. The current cracks and broken asphalt will degrade rapidly in the future months unless treated. We have received a quote of $1,600 to repair this year. There were no comments or motions.

3. Cleaning up the right of way and stair cases – Fred Miller: A contractor was hired to perform major clean up of rocks, dead brush, and tall grass, falling onto the blacktop, hiding cracks and broken out blacktop. Secondly, the railing on the stair cases was repaired, and a tree that had fallen on the stairs was removed.

4. Judy Bauer weed-wacked a large section of Boisen Road’s right of way, and we have received nice complements from other residents. Thanks Judy for you participation.

5. John Boisen presented suggestions for improvements within the Association including adding additional picnic benches and more sandy beaches. Bill Putren suggested more fire pits be added along our beaches. There were no motions on the above.

6. Snow plowing Boisen Road: Ben Kircher, who plows, the snow, recently wrote a letter to the Secretary, requesting certain changes by the Association:

to help collect from homeowners who fail to pay for plowing (there are two)

to create a safety buffer on either side of the road. 

Ben has in fact, less room to place the snow than in the past, due to new homes being built along the road. John Boisen and Fred Miller had met with Ben to define both sides of the issue. The residents are generally favorable of his plowing, and pricing, although the quality of the plowing could be improved with some extra efforts and the Association can assist by taking action on cars parked in the way.

Jim Ruyf made a motion, that the Association develop an ordinance: parking by any vehicle on our right of way/shoulders of the road will be prohibited between October 30 – April 30 of each year, and any vehicles that violate the ordinance will be subject to a tow away. The motion was seconded, and a unanimous vote passed the ordinance. The bill will be written up by the Board, and sent to the residents along the road.

7. Selection of the Board: A motion was to re-elect the current Board, seconded, and the vote was unanimous.

There being no further business at the General Members Meeting, a motion was made, seconded, and the members voted unanimously to adjourn.

2. Treasurer’s Report – Tim Ball, represented by Judy Bauer

Tim Ball was absent, and he make arrangements for Judy Bauer to present his report: we have $1,007.78 in our bank account. 

John Boisen indicated that the priorities for this year are to pay off the road loan and finish the legal work with our attorney to complete the legal work for the ownership of Boisen Road, and strengthen the incorporation of the association. 

This will allow the members to more effectively control renters, and abusers of our road. The sheriff will not enforce laws on our road without our compliance of certain legal requirements.

John Boisen also opened a discussion on what should be done in the future.  He suggested that we look at enhancing our beach and swim areas, widening the road shoulder so we have more room to park cars and trailers and using the dirt removed from the shoulder to fill and area that the association owns to create a parking area.   

These and other items will be looked into by the board and probably be discussed at the next general meeting.

7. Election of Board Members  

The Members voted unanimously to add Judy Bauer and reelect the current Board Members, and the current officers to continue. John Boisen President, Fred Miller Secretary, Tim Balll Treasurer, and Don Sharp Dock Master.

There being no further matters, the Board meeting was adjourned.

There being no further business at the General Members Meeting, a motion was made, seconded, and the members voted unanimously to adjourn.

2. Treasurer’s Report – Tim Ball

Tim Ball reported we have $3,200 in our bank account. 

There is only one member, Allen, who has not paid their dues. That home is under foreclosure, and will be paid by the bank.

There has been great progress over the past 5 years on the reduction  

Of past due, this is a reflection of all Members working together, to make this Association successful.

More Members have paid on time this year then in our history.

The bank loan balance for the road = $3,800.

Money outflow for the next year: one more annual road loan payment of $2,000, insurance, final payment of legal fees, and a road repair. 

3. Road Report – Fred Miller

0The drain in the road has been broken, and there are three large cracks in the blacktop. Joe Hall Paving, the contractor who did the road, inspected it, and rendered the opinion that a large, heavy truck caused the damage. We have had one new home built in the past two year, and they had heavy cement trucks driving down the road. 

We believe we know the culprit, but can’t prove it. Secondly, we do not yet have the legal means to force a bond.

More on this in the next agenda item: Legal.

4. Legal – John Boisen

    The legal expense is from two areas: road and by-laws.

     Road: When the judge set up the Association many years ago, he neglected to include the road, hence, who owns the road?

The Board met, and passed an amendment to the by-laws, adopting the road as our property. Scot Reed will file the documents with the court house.

Other legal matters: we have road, beach, and rental policies, adopted to protect our members. Mr. Reed informed us that a court decision required these be changed to amendments of our by-laws. The Board met, adopted those changes to the by-laws, and Mr. Reed is filing those changes, which will include filing on each lot.

Scot completed half of this project over the winter, and since the Association id not have the money to pay his entire bill, we all decided to await the availability of funds to pay him.

5. Increased Dues: – John Boisen

    The Board at our June meeting, reviewed our financial position, and the monies that have to be spent in the coming months, and made the decision to increase the dues, to prevent a short-fall.

The members at this meeting agreed with that decision.

6. Snow plowing of Boisen Road

    There was discussion regarding the Association assume the responsibility of contracting for this task. 

Fred Miller pointed out that if the Association contracts with a firm, they must have insurance, and license, which would cost more money. There was a general agreement that the current system is working well, so leave it alone.

7. Election of Board Members

The Members voted unamiously to reelect the current Board Members. A Board meeting was conducted at the same setting, following this meeting, for the purpose for the election of officers. The same officers were re-elected. There being no further matters, the Board meeting was adjourned.

2. Treasurer’s Report – Tim Ball

Tim Ball reported we have $2,743.90 in our bank account. 

There are only eight members, who have not paid their dues.

More Members have paid on time this year then in our history.

The bank loan balance for the road = $8,099.55.

3. Pathway Report:

Fred Miller reported that Rohan Construction had quoted us $1,336.00 to repair the North pathway. When he inspected both paths, he found the South pathway was bad, and dangerous. He rebuilt that path. Jim Ruyf reported, that is much improved, and in good shape.

North pathway: he rebuilt as best as he could, but could not regrade the dirt, because of the numerous tree roots contained therein. He did not want the liability of a tree dying, and falling on someone’s home.

A permanent fix is a complete wooden staircase from the road to the grass areas, which would be above our budget for this year. The Board will look at this for a possible item for next year.

In the meantime, the path is much improved, and passable.

The contractor repaired both paths for the quoted amount, which we are pleased.

4. Road Report – Fred Miller

 Fred Miller made a brief report on the results of the paving of Boisen Road. Some residents expressed a concern over the suddenness of the job after our last Annual Meeting. The answer was that, the asphalt plants close in October for the season, and the contractor had one cancellation, which jumped on it. Had we waited until this year, the costs would have doubled.  Everyone has expressed compliments on the results, and this writer, who worked on that project, appreciated the nice compliments from June Berquest.

5. Problems with Renters:

John Boisen led this portion of the meeting. There were several complaints from the members over the conduct of the renters, a problem that has increased over last year. One case, the sheriff had to be called.

The list ran from pit bulls running loose, 20-30 people renting one house, and causing a scene on the beach, overloading the road, trespassing, and etc.

It has become evident, that the landlords are engaged in commercial operations, and do not care about the welfare of the neighbors. The landlord’s house is strictly a business from which they extract rent at our expense.

There are currently 6 houses identified as rentals, with one charging a reported $6,000 per week, and is past due two years of dues and road payments. We will be filing a lawsuit for the collection of our funds.

There was discussion on what other associations have done regarding this problem:

Russ Niles reported that a group at Rockford Bay allows only annual leases – no weekend rentals.

Don Sharp reported that Captain Kidd Association charges almost double the dues for rental property.

Fred Miller reported that our attorney, Scott Reed represents an association near Spirit Lake, who has banned rentals, period. It has been tested, and stands up in court.

There is a growing trend to significantly increase the dues on rentals in the area.

The General Members expressed a general feeling that the landlord and their rentals had caused significant problems that affected the rest of the neighbors, and the landlords should pay greater annual dues to offset the expenses and aggravation.

It should be noted that 5 of the landlords are past due on their annual dues.

6. Election of Board Members

The Members voted unamiously to reelect the current board Members. A Board meeting was conducted at the same setting for the election of officers. The same officers were re-elected. There being no further matters, the Board meeting was adjourned.

Personal remarks from the Secretary

 Last year, I reported that would be my last year as Secretary due to blindness. Well folks, I have been pressed into service again. I have taken training through the Commission of the Blind, and can use a computer and type – someone must have found out about that, and here I am back in the job.

Thanks for all of your help in the past, and I could use some in the future – I will try to do a good job for our Association.

2. Treasurer’s Report – John Boisen

John Boisen reported we have over $3,000.00 in our bank account.

The Members voted to accept the Treasurer’s report.

A suggestion was made last year, to develop a an annual budget, and John presented that to the General Members. It is published on the Web site.

3. Boisen Road Report – Fred Miller

    The road is in poor condition, and needs repair/rebuilding – to ignore it will cost us more expense in the future.

Fred presented both short-term, and long-term options:

Grade and gravel: The less expensive in short-term, but much grater expense in the long-term. It will require annual grading, and dust control.

Blacktop: Greater initial expense, but , once done, it reduces maintenance annual expense over the next five years.

The cost is estimated $20,000, which can be financed by a local bank over a 4 year term.  

The lots who would pay for it, are those facing on Boisen Road.

For the lots who wish to go on a payment plan, the annual cost is $77.00, and for those who wish to pay cash, the cost is $235.00.

A motion was made, and seconded, to blacktop the road. A vote was taken with 28 lots in favor, and 5 no votes.

4. Revised Beach and Road Policy:

    The Board recommended changes to the existing policy, 

    The County has certain regulations on burning and the use of fireworks.

    A motion was made make and seconded, to adopt the Board’s recommendations. The vote was unanimous in favor.

5.Neal reported on the vast amount of material listed on the site, which can 

   be accessed by all Members.

  Our many thanks to Neal for his hard work on this project.

  This site will both provide to our Members, immediate access to all 

   information of our Association, and save the Association future mailing    expense.

Note: If you have an e-mail address, please forward to this Neal; his address is listed on the Web site, so we can list you on our records for immediate transmittal of information, that you may need in a timely manner.

Neal assured the Members, that in the future, when we E-mail to all members, that their addresses are protected, and he is the only one who knows it.

A member recommended that members receive an e-mail of forthcoming Board meetings.

The Board will take this suggestion to the next meeting, discuss the feasibility of posting to the Web site Vs the suggested E-mail, and a decision will be made at that time.

6.Dock Report – Don Sharp

Don Sharp gave his report: all lots within the Association have been assigned dock space.

He has found Members, who wish to trade their space with another, so their dock is closer to their home. He is presently working with 3 Members on that task and all are very pleased with the fact that we are working in their behalf.

The Board sees its role in the future, now that all lots have been assigned, to work with, and assist Members who wish to trade with another.

7. Members expressing concerns to the Board: John Boisen,     

   presented to the Members, this new program, which will 

   allow the Board to become more efficient, and respond to the members in a        timely manner. Secondly, it will prevent someone using the Board to solve petty disputes with their neighbors. That policy is posted on the Web site

Guest auto parking is allowed for a 72 hour period.

Personal remarks from the Secretary

This was the best meeting I have ever seen as a member of this 

Association, even better than last year, which was fun. We had a large attendance, the Members gave excellent suggestions for the Board to enact in the future – all will enhance our Association.

The atmosphere was very positive and friendly – several Members remarked that we had a great Association, and were pleased to be a member.

Thanks to all of you – both attendees, and those who could not attend for your support and great ideas for the Board.

This wills my last act as your secretary. I am visually impaired and legally blind, and at this time, can not do justice to this office. I will continue to serve on the Board, and support our Association to the best of my ability.

Treasurer’s Report – Chad Solsvik

Chad reported on the current checking and savings account balances.

We have $1,000.00 plus receipts from today in checking, and $500.00 in savings accounts.

There are only four persons, who have not paid their dues, and other members felt they should pay equally. The Board will take up this issue at the next Board meeting.

The Association incurred $6,500 with our Attorney, Scott Reed (actions 

      to be described later in the legal report). We have paid Mr. Reed  

     $3,000 with an amount owning of $3,500.

There has been great progress over the past 4 years on the reduction of past due, which is a reflection of all Members working together, to make this Association successful.

More Members have paid on time this year then in our history.

The Members voted to accept the Treasurer’s report.

Boisen Road Report – John Boisen

Dust control was not applied this year in the interest of cost savings, and the lack of need.

There are numerous “pot-holes” on the road. Most are located at the low or dip in the road by Nile’s lots – the water just sits there, and passing cars pound out the soft spots.

This year, dust is a major problem.

John reported an estimated cost of $2,200-2,500 to: grade the road, new gravel, and apply dust control.

The Association does not have the funds to perform these needed tasks this year. Combined with our legal expense, which will be discussed later.

The Board will develop a policy covering contractors performing construction on the road, tearing it up, and then the Association having to pay for the correction.

It should be the lot owner’s responsibility, who has direct control over his/her contractor, to assume that responsibility rather then the General Members.

Legal Report – Fred Miller – Board legal Liaison 

We have had two legal actions:

The Algiers’ dock issue, wherein they were in a legal dispute with the State Dept. of Lands. This action involved the Association, and it’s court order, to provide one dock space to each Member lot.

Our attorney had to provide much information to the various hearings on this case, requiring research, and transmittal to all parties.

Our cost on this issue: $6,500.00, which is not recoverable from the other party.

The Algiers put in a dock, using the Association common beachfront as their lot on the permit, and then refused to accept three (3) additional lots – to be assigned to that dock.

The issue here: the permit was not valid, not sharing the dock with 3 other lot owners would require the Association to put in one additional dock.

The Dept. of Lands restricts the no. of docks, and we are mandated to provide one space per lot. Hence, the Association would have been 

placed in a very poor position.

The Dept. of Lands, after several review/appeal hearings, ruled against the Algiers, who are now in a position of submitting a new permit with the assigned lot owners or removing their dock form our common property.

The Algiers and Walker filed suit challenging the legal validity of our Association.

Judge Haman heard the case, and ruled in favor of the Association.

The two then appealed his decision, and again the Judge ruled in our favor.

They then asked another judge for reconsideration, and again the Judge ruled in our favor, and awarded the Association some $8,500 in legal fees, which our attorney will collect for his services at no expense to the Association.

Special Assessments:

A motion was made by Bill Putren, seconded by Jim Ruyf, to pass a 

special assessment – not to exceed $100 per lot for legal expense, and the necessary roadwork.

The Members voted unanimously for this motion.

Web Site – Neal Schaefer

Neal reported on the vast amount of material listed on the site, which can 

be accessed by all Members.

A suggestion was made, that the Treasurer’s report be listed on the site – 

Neal will do so in near future.

Dock Policy – Don Sharp

Don gave a report on the recent decisions by the State Attorney General, 

and of his and this writer’s visit to the Dept. of Lands:

The Attorney General has directed the Dept. of Lands to make our 

Association the primary issuer of all dock permits as long as said permits meets state regulations, and that she supports Judge Haman’s decision of each lot receiving one boat space per lot.

Secondly, every dock on the lake must have a permit.

Or Attorney would like to see the Association record these permits on the 

homeowner’s deed at the courthouse. This action will protect the homeowner in case the Dept. loses the permit (yes, it has happened), and for any future litigation.

Future dock owners: to pay the Dept.’s fee, and a recording cost.

Personal remarks from the Secretary

This was the best meeting I have ever seen as a member of this 

Association. We had the largest attendance, the Members gave excellent suggestions for the Board to enact in the future – all would enhance our Association.

The atmosphere was very positive and friendly – three new Members remarked that we had a great Association, and were pleased to be a member.

Thanks to all of you – both attendees, and those who could not attend for your support and great ideas for the Board.

There has been great progress over the past 4 years on the reduction of past due, which is a reflection of all Members working together, to make this Association successful.

Boisen Road Report – Ben Kircher 

Dust control was not applied this year in the interest of cost savings, and the lack of need.

There are numerous “pot-holes” on the road. Ben Kircher and Fred Miller filled them late spring, and compacted them – two days later, the holes are back.

Most are located at the low or dip in the road by Nile’s lots – the water just sits there, and passing cars pound out the soft spots.

Four (4) loads of dirt/gravel, were applied to that entire depression, and could save the Members money for road repairs in the future.

A typical annual repair consists of a road grader to scrape the surface level, and then graveling, approximately $1,500.00

Beach Policy and by-laws

Last year, the Members were quite vocal with their complaints against renters, and large parties.

The Board has been charged – in the Judge’s decision – with managing the assets of the Association, hence, over the winter, The Board developed a policy to alleviate those abuses, and had it reviewed by our attorney. 

The policy was sent out to all members, and input was requested. To-date, not one comment has been received by the Board.

There was discussion on the Policy and By-laws, mainly from those members who had not paid their dues. The Members, who had paid the dues, felt it addressed the problems, and had no problems with it.

It was apparent some members had not read the Policy or the By-laws, and were listening to rumors.

We urge all members to please read carefully both documents, you might be surprised to find they are quite positive, and would add to your future enjoyment of the Lake.

The Policy is not cast in “bronze”, but represents the best thinking of the Board, who is willing to listen to suggestions and ideas from our Members. If you see an area that could be improved, please notify any Board Member with you suggestion.

The Policy does not restrict a Member from renting out his/her home – which is on private property of which the Board and the Association has no control. 

It does however, address the use of the Beach and Boisen Road, which belong to the Association as a whole, and of which the Board has a duty to effectively manage the use for the benefit of all Members.

By-laws may be changed by the General Members or recommended by the Board. Changes must be approved by the General Members.

After carefully reviewing this document and the Judge’s decision, it is apparent, there is not much we can legally change, and still be in compliance with that legal decision. Quite honestly, the By-laws were designed to protect the interests of all members, and could be opposed by developers, who have a profit incentive.

Ben Kircher and Carol Kircher 

 Ben tendered his resignation due to the sale of the property within the 

Association. The Members conveyed the deep appreciation to both for their many years of dedication and hard work for the Association, and a letters of Commendation was presented to them.

We wish them well in their retirement.
